Terms of Service

These Terms of Service (“Terms”) govern your use of Takeyard (“the Platform,” “we,” “us”), operated from Denmark. By creating an account or using the Platform, you agree to these Terms. The Platform is available to users worldwide, but is operated under Danish and EU law.

1. Accounts

You must be at least 13 years old to use Takeyard. This is the age of digital consent in Denmark under the Danish Data Protection Act (Databeskyttelsesloven), which implements the EU General Data Protection Regulation (GDPR). If you are between 13 and 18, you confirm that your parent or guardian consents to your use of the Platform.

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to provide accurate information when creating your account and to keep it up to date.

We reserve the right to suspend or terminate accounts that violate these Terms. Where possible, we will notify you before or at the time of suspension and give you an opportunity to remedy the violation.

2. User-generated content & intellectual property

You own your work. Takeyard does not claim ownership of any content you upload, including audio files, stems, artwork, lyrics, or any other creative material. Your copyright and related rights under Danish copyright law (Ophavsretsloven) and applicable international copyright treaties remain entirely yours.

By uploading content to the Platform, you grant Takeyard a limited, non-exclusive, royalty-free license to store, display, and transmit your content solely for the purpose of operating the Platform — for example, showing your files to project members or playing audio in the workspace. This license ends when you delete the content from the Platform, except for copies preserved in the contributions storage (see Section 3).

You represent that you have the right to upload any content you share and that it does not infringe on the intellectual property rights of any third party. If we receive a valid notice that your content infringes someone else's rights, we may remove it and notify you.

3. The proof ledger

Takeyard maintains a proof ledger that records your activity on the Platform — uploads, project joins, and contributions. Upload records include a cryptographic fingerprint (SHA-256 hash) of your file, which may be anchored to the Bitcoin blockchain via OpenTimestamps.

What the proof ledger is: a verified record of activity that occurred on Takeyard. It provides evidence that a specific file existed at a specific time and was uploaded by your account.

What the proof ledger is not: a legal copyright registration. Under Danish law, copyright arises automatically when a work is created — no registration is required. However, in disputes about who created something first, timestamped evidence can be valuable. The proof ledger provides that evidence, but it does not constitute a formal legal filing in any jurisdiction.

Ledger entries are permanent and cannot be edited or deleted. Evidence copies in the contributions storage cannot be removed through the Platform while your account is open — not even by you, since evidence you could quietly withdraw mid-collaboration would not be evidence. They are deleted if you close your account, as described in the Privacy Policy. You consent to this when you upload a contribution.

4. Acceptable use

You agree not to:

  • Upload content that infringes on the intellectual property rights of others.
  • Use the Platform to harass, abuse, or threaten other users.
  • Attempt to gain unauthorized access to other users' accounts, files, or data.
  • Upload malicious files or attempt to compromise the Platform's security.
  • Use the Platform for any purpose that is illegal under Danish law, EU law, or the laws of your own country.
  • Create multiple accounts to manipulate the review system or other features.
  • Scrape, crawl, or use automated tools to access the Platform without permission.

5. Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data in compliance with the GDPR and the Danish Data Protection Act (Databeskyttelsesloven).

6. Limitation of liability

Takeyard is provided “as is” without warranties of any kind, express or implied, to the extent permitted by applicable law. We do not guarantee that the Platform will be available at all times, free of errors, or that your data will never be lost.

To the maximum extent permitted by Danish and EU law, Takeyard and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or creative work, arising from your use of the Platform.

Nothing in these Terms limits liability for damages caused by wilful misconduct or gross negligence, nor excludes any rights that cannot be waived under mandatory Danish or EU consumer protection law.

We make reasonable efforts to ensure that OpenTimestamps proofs are generated and stored correctly, but we do not guarantee the availability or permanence of the OpenTimestamps calendar network or the Bitcoin blockchain, which are operated by third parties outside our control.

7. International users

Takeyard is operated from Denmark and primarily governed by Danish law. If you use the Platform from outside the EU/EEA, you acknowledge that your data may be transferred to and processed in the EU. We handle such transfers in compliance with the GDPR.

If you are an EU consumer, these Terms do not override any mandatory consumer protections available to you under the laws of your country of residence.

8. Termination

You can delete your account yourself at any time from Account settings, and export your data first. Deletion erases your profile, your messages, your private evidence copies, and any project you own that has no other members. Projects you share with collaborators are transferred to the longest-standing member so their work survives.

Your ledger entries are retained permanently, with your name replaced by “Former member”. They hold a file fingerprint, a timestamp and a project title, and they stay because your collaborators’ credits are evidenced by them — removing your row would erase their proof too. This is explained before your first upload, restated in the deletion confirmation, and set out in full in the Privacy Policy.

We may terminate or suspend your account if you violate these Terms. Unless urgency requires otherwise, we will provide notice and an opportunity to respond before termination.

9. Dispute resolution

We encourage you to contact us first if you have a complaint — most issues can be resolved informally. If we cannot resolve the matter, the following applies:

These Terms are governed by the laws of Denmark, without regard to conflict-of-law principles. Any disputes shall be brought before the Copenhagen City Court (Københavns Byret) as the court of first instance.

If you are an EU consumer, you may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

10. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email at least 30 days before the changes take effect. If you disagree with the changes, you may request account deletion before they take effect. Continued use of the Platform after the changes take effect constitutes acceptance.

Takeyard is operated from Denmark, EU. These Terms are available in English. In case of any discrepancy between translations, the English version prevails.
